ARTICLE 1: INTRODUCTION

Welcome to the Gemsquar platform. Before using the platform or creating an account, please take the time to carefully read these General Terms of Use (GTU). The GTU define the operating rules of the platform.

The services made available to you include the website www.gemsquar.com, the technology and all its features and contents, such as information, pages and contents, site features, data, texts, images and photos, graphics, logos, messages, tags, programming, software, application services, as well as any application made available through the platform or its services. Any new features added to the platform or intended to improve the services are also subject to the T&Cs.

By using the Gemsquar platform, you accept the T&Cs and agree to comply with them.

ARTICLE 2: DEFINITION OF TERMS

The following terms have the meanings described below in these general conditions of use (CGU) of the Gemsquar platform:

  • “Platform” or “Gemsquar Platform” means www.gemsquar.com, a specialized digital platform which aims to facilitate the sale and purchase of jewelry between a seller and a buyer.

  • “Gemsquar” means its operator, namely Kaplan Sàrl (Article 3.1).

  • “User” means any person using the Gemsquar platform.

  • “Seller” means any natural or legal person who has created a Gemsquar account to sell items, whether or not registered as a Trusted Seller.

  • “Trusted Seller” means legal entities or individuals who have met the conditions required by Gemsquar and who have subscribed to carry out their sales activity on the Platform.
  • “Private Seller” means any natural person not registered on the Platform who wishes to sell items on a non-recurring basis on Gemsquar.

  • “Buyer” means any natural or legal person who has created a Gemsquar account to purchase items offered by a seller on the Platform.

  • “Micro-Store Gemsquar” means the service offered by the Platform.

  • “Items” means items listed for sale by Sellers on the Gemsquar Platform, including but not limited to jewelry, jewelry pieces, jewelry collections, custom jewelry.

  • "Safe-Sell Option" means the optional paid service offered by Gemsquar to check the conformity of the item with the description provided, in order to ensure the protection of the seller.

  • "Safe-Buy Option" means the optional paid service offered by Gemsquar to check the conformity of the item with the description provided by the seller, in order to ensure the protection of the buyer.
  • “Item as is” or “Item in perfect condition” means an item returned as received.

ARTICLE 3: THE GEMSQUAR PLATFORM

3.1 Presentation of Gemsquar

Gemsquar is operated by Kaplan SARL, a company registered in Switzerland with its registered office in Geneva, registered under number CHE-227.680.144.

3.2 Objective of Gemsquar

Gemsquar is an online platform specializing in jewelry and jewelry accessories. It aims to facilitate transactions between buyers and sellers of jewelry, by granting users of the site the right to create an account, use, promote, sell and purchase their items on the platform. Gemsquar acts as a service platform between buyers and sellers.

Due to the nature and value of the items sold on the platform, Gemsquar makes every effort to protect its users. Thus, Gemsquar verifies "Trusted Sellers" members during their registration, use of the platform and transactions with buyers, in order to maintain a safe, reliable and pleasant environment for all users.

3.3 Scope of the General Conditions of Use

The General Conditions of Use of the Gemsquar platform apply to all aspects of the site, including, but not limited to: registration, creation of a Gemsquar account, use of the site's features, instant communications between users of the Platform and the Gemsquar team, the services offered by Gemsquar and entire transactions carried out on the Platform, from sending to receiving and returns of items offered for sale or sold on the Platform.

ARTICLE 4: ELIGIBILITY CRITERIA

4.1 Eligibility criteria

To access the Gemsquar platform, users must meet the following criteria:

  • Be at least eighteen (18) years old on the date of creation of their Gemsquar account.
  • Accept Gemsquar's Terms of Use and Privacy Policy.
  • Use a unique and valid email address for each Gemsquar account.

4.2 Formalities

Users agree to provide Gemsquar with accurate and up-to-date personal information when creating their account, such as their identity, contact details and any other information that may be required by Gemsquar.

4.3 Appropriate behavior

By using the Gemsquar Platform, Users agree to adopt respectful behavior in their communications with Gemsquar, its employees and other users of the Platform.

Buyers agree not to use vulgar language, not to insult other users, not toe not publish or share content that has no connection with the activity of the Gemsquar Platform, such as inappropriate images, illustrations or videos.

Users also agree not to engage in any behavior that could endanger the security of the Gemsquar Platform, its employees or any other user of the platform. This behavior includes, in particular, sending viruses, Trojan horses, requesting personal or financial information, identifiers or passwords, or requesting an appointment outside the platform to carry out or finalize a transaction to buy or sell an item published on Gemsquar.

ARTICLE 5: GEMSQUAR ACCOUNT

5.1 Gemsquar Account Types

Gemsquar offers different types of accounts to meet the needs and expectations of its users. Each type of account has its own rights and obligations. By creating a Gemsquar account, the User accepts the terms associated with that account.

The account types offered by Gemsquar are:

  • Trusted Seller : This account is reserved for professional jewelry sellers who regularly carry out their activity and are registered in the Swiss commercial register or an equivalent register in their country. Trusted Sellers must subscribe to a monthly subscription offered by Gemsquar to benefit from certain services.

  • Private Vendors : This account is intended for private jewelry sellers who wish to sell items on an occasional, non-professional basis. Private Vendors do not need to subscribe to a subscription to sell on the platform.

  • Buyer : This account is intended for individuals or legal entities who wish to make online jewelry purchases through Gemsquar.

5.2 Creating a Gemsquar account

To ensure the security of the Platform and its Users, Gemsquar establishes strict conditions for the creation of a Gemsquar account. Users agree to provide Gemsquar with personal information, such as their name, first name, email address, residential address, social media profiles, IP address, contact details, and information on payment methods, such as bank account holder and account number.

Users agree to keep their information up to date, and if necessary, can request assistance from Gemsquar using our contact form or by sending an email to the following address: info@gemsquar.com

Gemsquar reserves the right to request documents proving the identity and activity of Users at any time. In addition, Gemsquar may contact the User by email or telephone at any time to clarify the information provided or request additional information or documents.

ARTICLE 6. GEMSQUAR SERVICES

6.1 Services available to Trusted Sellers

Gemsquar provides a platform for Trusted Sellers and Private Sellers to sell their items internationally, in return for a commission (Article 9.12).

6.2 Services open to Trusted Sellers

With the conditions related to Gemsquar subscriptions, Trusted Sellers can benefit, for a monthly subscription, from a certain number of services offered by Gemsquar, including:

  • Lower commission rates than Private Sellers.
  • The Gemsquar Micro-store.
  • A support service for the management of the Gemsquar Micro-store.
  • A monthly report on the activities of the Gemsquar Micro-Store.
  • A monthly report on customer trends and activities on Gemsquar.
  • Advertising services for the brand, the Gemsquar Micro-store and the items offered for sale by Trusted Sellers.

A Gemsquar Commission Rate

Trusted Sellers benefit from a preferential Gemsquar commission rate for each sale compared to Private Sellers. The commission rate depends on the subscription purchased. The commission fees for each transaction are calculated on the amount of the net price of the Item and are as follows:

  • Basic Subscription: 20% including transaction fees and VAT.
  • Silver Subscription: 13% including transaction fees and VAT.
  • Gold Subscription: 10% including transaction fees and VAT.
  • Platinum Subscription: 10% including transaction fees and VAT.

B Micro-Store Gemsquar

Gemsquar Micro-Store is a service exclusive to Trusted Sellers. It allows Trusted Sellers to manage their own Gemsquar Micro-store. Trusted Sellers can upload, add or remove photos or videos of their Listings, manage the descriptions of their Listings, the visibility of their brand and information, and offer a professional experience to their visitors and customers.

C Assistance for the management of the Gemsquar Micro-Store

Gemsquar Trusted Sellers subscribed to Gemsquar have access to the support service for the management of their Gemsquar Micro-store. This service consists of helping, advising and supporting members on all questions relating to the operation of their Gemsquar Micro-store. The monthly duration of support depends on the subscription and is defined as follows:

  • Basic Subscription: 30 minutes per month.
  • Silver subscription: 30 minutes per month.
  • Gold subscription: 60 minutes per month.
  • Platinum subscription: 90 minutes per month.

D Monthly Report of the Activities of the Gemsquar Micro-Store

The Gemsquar Micro-Store Monthly Activity Report is an essential tool for Gemsquar Trusted Seller account holders to monitor and optimize their sales strategy based on reliable factual data about their sales activity on their Gemsquar Micro-Store.

The Gemsquar Micro-Store Activity Report includes a comprehensive overview of their monthly performance, including total sales, number of visitors to their Micro-Store, number of clicks on their items, most visited items, total items sold, total items sold by country, most searched keywords on the site, as well as personalized tips and recommendations from Gemsquar.

The monthly report of the Trusted Seller's activities is sent by Gemsquar on the last day of each month exclusively by electronic means to the email address provided when registering on the Gemsquar Platform. It is therefore easy and convenient for Trusted Sellers to monitor their performance and adapt their strategy accordingly to maximize their sales.

E Monthly Report on Gemsquar customer trends and activities.

The Gemsquar Monthly Customer Trends and Activity Report is a service offered by Gemsquar for Trusted Sellers. It aims to inform, advise and provide valuable information for Trusted Sellers regarding the trends and activities of thecurrent and future trends in the jewelry market.

Gemsquar's monthly customer trends and activity report includes, among other things: a list of the most viewed items, in-demand or most sought-after items, as well as the latest trends in the jewelry market.

The report is sent electronically by Gemsquar to Trusted Sellers at the end of each month to the email address provided when registering on the Gemsquar Platform. It is a valuable tool for Trusted Sellers to adjust their inventory and meet the needs of the ever-changing market.

6.3 Safe-Sell, a Service for Trusted Sellers

Gemsquar Safe-Sell Option is a paid service option offered to Trusted Sellers. This optional service allows Trusted Sellers to sell on the Gemsquar platform with confidence, as Gemsquar acts as an intermediary to ensure the conformity of the items sold.

Before delivery to the Buyer, Gemsquar carries out a check of the Item based on the description provided in the Item details by the Seller. This check is specified in article 6.14. If the Item is considered to be in conformity with its details, Gemsquar issues a certificate of conformity to the Seller with the order. In the event of non-conformity, Gemsquar informs the Buyer and the Seller and returns the Item to the Seller at its expense.

Gemsquar also manages the secure shipping of the Item to the customer's delivery address when the Safe-Sell Option is used by a Trusted Seller.

6.4 Security Service for Buyers - Safe-Buy

The Safe-Buy Option is an optional and paid option offered by Gemsquar for Buyers wishing to benefit from additional insurance for their purchases on the Gemsquar Platform. This option consists of an intervention by Gemsquar experts as a trusted intermediary to authenticate and validate the conformity of their order, based on the description provided in the item details during the transaction.

After verifying the authenticity of the Item (art. 9.14, 15.2 and 15.3), Gemsquar issues a certificate of authenticity which guarantees the conformity of the Item purchased with the description published by the seller. In the event of non-conformity of the item with the description, Gemsquar undertakes to inform the buyer and the seller of this non-conformity, to reship the item to the seller (costs borne by the seller), and to fully reimburse the buyer for the price of the Item.

The Safe-Buy Option provides an additional level of protection and security for buyers who wish to be assured of the quality and compliance of their purchase on the Gemsquar Platform.

ARTICLE 7. FUNCTIONALITIES OF THE GEMSQUAR PLATFORM

Gemsquar platform provides a variety of features for Trusted Sellers and buyers to facilitate jewelry sale and purchase transactions on the platform.

Some of the features offered by Gemsquar include, but are not limited to:

  • Creating a Gemsquar account for Trusted Sellers to manage their online Micro-Store.
  • Posting jewelry for sale listings, including uploading, editing, and deleting images and photos of items, as well as changing their descriptions.
  • Instant messaging for effective communication between Trusted Sellers and buyers.
  • The secure online payment feature to ensure the security of financial transactions.
  • The Safe-Sell and Safe-Buy Option for even more secure transactions by providing additional assurance for Trusted Sellers and buyers.

These features are designed to help platform users manage thetheir sales or purchasing activity efficiently and securely.

ARTICLE 8: COLLECTIVE RIGHTS OF USERS

8.1 Creating an account

Any user who meets the conditions set out in Article 5.2 of the T&Cs may request the creation of a Gemsquar account. The decision on the creation of the account rests with Gemsquar (Article 9.1).

8.2 Request for deletion of a Gemsquar account

A User who has created a Gemsquar account may request its deletion by sending an electronic request to Gemsquar. In the event of deletion of the account, all amounts owed to Gemsquar remain due and are immediately payable.

8.3 Request for Reinstatement of a Suspended Account

Users may request the reinstatement of their suspended account if they have not committed a breach of their payment obligations to Gemsquar.

The request for reinstatement must be sent to Gemsquar at the email address info@gemsquar.com within thirty (30) days of the effective suspension of their account.

After reviewing the request for reinstatement, Gemsquar reserves the right to decide whether or not to grant the request.

By creating a Gemsquar account, Users agree that the final decision regarding the temporary suspension of an account rests with Gemsquar and agree that this decision is final.

8.4 Access to the Safe-Buy or Safe-Sell Service

In accordance with the conditions set out in Articles 6.3 and 6.4, users may benefit from the Safe-Buy and Safe-Sell Options to verify the conformity of the items on sale, based on the descriptions provided during the transaction.

8.5 Use of the Certificate of Conformity

Under the Safe-Buy and Safe-Sell Options, Buyers and Sellers may use the certificate of authenticity issued by Gemsquar in the event of a dispute regarding the conformity of the Item with the description provided at the time of sale.

8.6 Communication with Gemsquar

Users can contact the Gemsquar operator by telephone at (+41) 0789204906, Monday to Friday from 9:00 a.m. to 7:00 p.m. and Saturday from 10:00 a.m. to 6:00 p.m., via our online form or by email at the following address: info@gemsquar.com .

ARTICLE 9: RIGHTS OF GEMSQUAR

9.1 Decision on the creation of an account

Gemsquar reserves the right to request information or documents from its Users, as provided for in Articles 4 and 5.2 of the T&Cs. Gemsquar may accept or refuse the creation of a Gemsquar account at its own discretion, in particular in the event of non-compliance with the conditions for creating an account or when the creation of an account poses a risk to the security of the platform or its users.

9.2 Temporary suspension of a Gemsquar account

Gemsquar may temporarily interrupt or suspend a Gemsquar account in the event of irregularities, errors, omissions, significant or minor changes in the personal information, documents or supporting evidence provided, or in the event of a failure to comply with the obligations of respect and courtesy towards other Users of the Platform or Gemsquar and its employees. Gemsquar will send prior notification by email or telephone.

9.3 Reactivation of a temporarily suspended account

Gemsquar will reactivate a temporarily suspended account when the User provides, corrects or updates the personal information, documents or supporting evidence that caused the temporary suspension.

9.4 Invisibility of a Gemsquar account

In the event of non-payment or late payment, Gemsquar may suspend a Gemsquar account until full payment of the amounts due to Gemsquar. Gemsquar will send an email reminder within 7 days following the 30th day of each month. The suspension of a Gemsquar account will not delete its content, which will remain visible to the account holder, but invisible to other Users of the Platform. The invisibility of a Gemsquar account will not affect Gemsquar's rights to the amounts due.

9.5 Restoring Account Visibility

Gemsquar may restore visibility of a Gemsquar account immediately when the amounts owed to Gemsquar are fully paid by the User.

9.6 Closing a Gemsquar Account

The closure of a Gemsquar account can be done either at the request of the User of the account, or automatically at the initiative of Gemsquar.

A. Closing an Account at the User’s Request

Gemsquar may close a Gemsquar account within 30 days of the user's request, provided that all amounts owed to Gemsquar are paid. If the account is not in good standing or if amounts remain owed to Gemsquar, the request to close the account cannot be taken into account. The right of suspension remains reserved.

B. Closing an Account at the Initiative of Gemsquar

Gemsquar may close a Gemsquar account permanently or temporarily at its own initiative, in the event of attempted fraud, falsification of documents, use of means of payment or bank accounts other than those of the account holder, or misappropriation of the identity of a user or a third party, or non-compliance with these T&Cs. In the event of closure at the initiative of Gemsquar, this will take place immediately and will be irrevocable.

Closed accounts are still available on the server and can be reactivated if conditions are met.

9.7 Permanent Deletion of a Gemsquar Account

Subject to an express request for deletion initiated by the account holder and transmitted electronically, Gemsquar reserves the right to proceed with the complete and permanent deletion of the account and its content. The deletion will take effect within thirty (30) days following the deletion request. In the event of deletion of the account, all amounts owed to Gemsquar remain due and are immediately payable.

9.8 Archiving of Content

In the event of account deletion, Gemsquar reserves the right to retain a copy of the content for archiving purposes, including information and documents provided, images or photos uploaded, electronic exchanges between a seller and a buyer, between Gemsquar and users, publications on social networks, as well as data relating to orders, items shipped or returned, and the history of transactions made on the Platform. In accordance with applicable laws, the history of financial transactions will be retained for ten (10) years from the date of closure or effective deletion of the account.

9.9 Shared Management of a Gemsquar account

Users have the right to manage their account, but the management of a Gemsquar account is shared between the account holder and Gemsquar. Gemsquar reserves the right to exercise certain rights relating to the management of a Gemsquar account, such as suspension or reactivation, making it invisible or restoring its visibility, closing, or, if there is an express request from the user and an account in good standing, deletion of a Gemsquar account.

9.10 Right of Communication

Gemsquar reserves the right to communicate with a seller or buyer electronically, by telephone, or by videoconference, to clarify personal information, to request additional documents, or to coordinate with them, if necessary, to ensure the smooth running of the sale, purchase, returns, refunds, advice or assistance for the management of a Gemsquar Micro-Store.

In addition, Gemsquar reserves the right to communicate with sellers or buyers to coordinate the process of sending or reshipping packages, for advertising or marketing purposes, or to follow up on or collect payments owed to Gemsquar.

9.11 Non-waiver of amounts due

The suspension, visibility, invisibility, closure, reactivation or deletion of a Gemsquar account shall not result in a waiver of the amounts owed to Gemsquar for the Gemsquar subscription.

9.12 Gemsquar Commission

Gemsquar receives the commissions due to it for each sale of an Item on its Platform. The Gemsquar commission percentage depends on the subscription taken out by the Seller. The Gemsquar commission rates are as follows:

  • For Private Sellers, the commission is 20% of the total price of the item sold, including transaction fees and VAT, including a 3% payment processing fee.
  • For Trusted Sellers who have subscribed to a Basis subscription, the commission is 20% on the displayed sale price, including transaction fees and VAT.
  • For Trusted Sellers who have subscribed to a Silver subscription, the commission is 13% on the displayed sale price, including transaction fees and VAT.
  • For Trusted Sellers who have subscribed to a Gold subscription, the commission is 10% on the displayed sale price, including transaction fees and VAT.
  • For Trusted Sellers who have subscribed to a Platinum subscription, the commission is 10% on the displayed sale price, including transaction fees and VAT.

Except in the case where the Buyer exercises his right of withdrawal within the time limit of three days from receipt of the Item, Gemsquar releases to the seller the amount corresponding to the total price of the item, less the Gemsquar commission. For all useful purposes, it is specified that in cases of reimbursement not covered by these T&Cs, for example when the buyer wishes to exercise his right of withdrawal outside the time limit, Gemsquar retains the right to collect its commission. 

style="text-align: justify;"> 9.13 Authenticity check

As part of the Safe-Buy or Safe-Sell Options, Gemsquar must carry out an authenticity check of the Items put up for sale by the Users concerned to verify the conformity of the Item to the description provided during the sale, according to the procedure detailed in Articles 15.2 and 15.3.

The certificate of authenticity is provided when the Item conforms to the description provided by the Seller at the time of the transaction. The certificate is issued at the discretion of Gemsquar and reflects only Gemsquar's opinion based on the information available to it. The certificate of authenticity means that Gemsquar considers, based on the photographs and other information at its disposal, that the Item conforms to the description provided by the Seller. Gemsquar does not carry out any other checks, including physical ones. Gemsquar cannot be held liable in any way whatsoever on the basis of the certificate issued, in particular in the event of a difference between Gemsquar's opinion and the expertise of another company.

After the authenticity check, when the checked Item is considered to conform to the description provided during the sale, Gemsquar will issue a certificate of authenticity to the party having subscribed to the Safe-Buy or Safe-Sell Option. 

9.14 Shipping and Reshipping

Gemsquar reserves the right to (A) send or (B) re-send the items directly, either to the buyer or to the seller, as the case may be.

A Sending packages

Gemsquar reserves the right to send the Items sold directly to the Buyer's address, in particular when a Safe-Buy or Safe-Sell Option is subscribed to and the Item is considered to conform to the description provided by the seller at the time of the transaction.

In addition, Gemsquar reserves the right to send the package to an independent laboratory upon request or acceptance by the seller in order to validate the characteristics of a stone or jewel if necessary.

B Reshipping of packages

Gemsquar reserves the exclusive right to re-send the package to the seller when the package is considered not to conform to the description provided under a Safe-Buy or Safe-Sell Option, or when the order is cancelled by a buyer on Gemsquar within the time limits for the right of withdrawal. 

9.15 Taking Photos

Gemsquar reserves the right to take photos of the Items received for security reasons, archiving, assessment of the condition of the items received and in case of return or cancellation.

9.16 Choice of Delivery Service

In the absence of a prior agreement between Gemsquar and the Seller as to the preferred delivery method, Gemsquar reserves the right to choose the delivery service necessary to fulfill its obligations to ship or reship the items. Gemsquar's preferred delivery services are Swiss Post, Fedex, Malca Amit SA and Brinks SA, as secure transport companies.

9.17 Modification, Deletion, Updates of Platform Content

Gemsquar reserves the right to update, modify, add or delete all or part of the content of the Platform without infringing the rights of Sellers or Buyers. When an update, modification, addition or deletion directly affects Users, Gemsquar undertakes to inform them in advance.

9.18 Update of the General Conditions of Use

Gemsquar reserves the right to update the T&Cs. To this end, Gemsquar undertakes to inform Users of the Platform electronically at the email address provided by the users.Users, in order to keep them informed of updates. The content of the email will be intended to provide an overview of the key points of the updated terms and the effective date of the new terms. By continuing to use the Platform, Users are deemed to have read and accepted the new terms of use.

9.19 Gemsquar Intellectual Property

Unless otherwise provided in Article 10.12 relating to the intellectual property rights of Trusted Sellers on the photos they publish on the Gemsquar Platform, Gemsquar holds the intellectual property rights on all or part of the content present on the Platform, including but not limited to: all pages of the platform, such as Gemsquar pages, FAQs, the general conditions of use of the Gemsquar platform, Gemsquar's privacy policy, Gemsquar's legal notices, Gemsquar's logos, the site in its entirety as well as its functionalities to operate all or part of the Platform or to provide all or part of the services offered by Gemsquar, and finally, any other content of any nature, whether in written or illustrated form, which is or will be present on the Platform.

Gemsquar's intellectual property rights also extend to material published or sent by Gemsquar to its Users or to third parties, as well as to photos taken by Gemsquar for archiving the condition of items received before their return, to content posted online or published by Gemsquar on social networks, whether in written or illustrated form, including but not limited to advertisements, emails or email exchanges, whether or not intended for advertising or commercial purposes. 

9.20 Use

Gemsquar and its marketing team are authorized to use, reproduce, represent, publish, offer to the public, improve and modify the images, photos and content of the items offered for sale by Trusted Sellers as well as Private Sellers, alone or with other images, photos and content, for marketing and sales purposes, for archiving the condition of the items received before return, publication on social networks, announcements, emails, without limitation of time or territory. The temporary or permanent suspension, activity, inactivity or deletion of a Gemsquar account will not affect the rights of use and publication granted to Gemsquar. By using the Gemsquar Platform, Trusted Sellers agree to grant Gemsquar the aforementioned rights.

ARTICLE 10: RIGHTS OF SELLERS

10.1 Publication and Sale of Articles

Sellers, subject to compliance with these T&Cs, membership in a Gemsquar subscription for Trusted Sellers, have the right to put their Items up for sale, new or used. Any Seller putting an Item up for sale on the Gemsquar Platform guarantees that he owns it and has the right and capacity to sell it.

By putting an Item up for sale on the Gemsquar Platform, the Seller makes an offer to sell the Item for the indicated sale price, without time limit. In the event of an order from the Buyer, the Seller undertakes to deliver them to the latter within the delivery time indicated on the Platform.

The number of items that can be put on sale on the Gemsquar Micro-Store for Trusted Sellers or on the Gemsquar platform for Private Sellers is as follows:

For Trusted Vendors:

  • Basic Subscription: 50 items
  • Silver Subscription: 70 items
  • Gold Subscription: 150 items
  • Platinum subscription: unlimited

For Private Sellers:

  • Up to 10 items

10.2 Pricing

LSellers on the Gemsquar Platform can freely set the price of their Items as well as the delivery costs, but subject to validation by Gemsquar before the Items are put online.

10.3 Remuneration of Sellers

When a sale is concluded and the 3-day withdrawal period has expired, the Seller is entitled to a remuneration corresponding to the price of the item sold, less Gemsquar's commission. Gemsquar undertakes to transfer the payment to the bank account provided by the Seller within 7 to 14 days from the request, by email or invoice, for the release of funds.

10.4 Cancellation of the order by the seller

Sellers may cancel an order as long as the item has not been shipped. If the cancellation is made within 3 days of the order, there will be no cancellation fee. However, if the cancellation is made after this period, a cancellation fee of 3% of the order amount as well as the commission due on this order will be due by the Seller. Once the item has been shipped and the buyer's withdrawal period has expired, it will no longer be possible for the Seller or the Buyer to cancel the order.

10.5 Intellectual Property

Sellers confirm that they own all intellectual property rights to the photos they publish on their Micro-Store and/or on the Gemsquar Platform. By publishing photos on the Platform, Sellers authorize Gemsquar and its marketing team to use these photos to the extent provided for in Article 9.22.

ARTICLE 11: RIGHTS OF TRUSTED SELLERS

In addition to the rights referred to in Article 10, Trusted Sellers benefit from the following rights.

11.1 Direct sales in physical stores

Trusted Sellers can continue to sell their items directly in their physical store or boutique without having to pay a commission to Gemsquar for these sales.

The sale on Gemsquar does not therefore imply any exclusivity towards Gemsquar for Trusted Sellers.

However, an in-store purchase made through the connection between the Buyer and the Seller via the Platform remains subject to these T&Cs and to the payment of the commission.

11.2 Shared management of the Trusted Seller account

Trusted Sellers may manage their account on the platform in collaboration with Gemsquar. Except for the exclusive management rights held by Gemsquar, Trusted Sellers may add, modify or delete images and descriptions of their online store or items offered for sale on the platform.

11.3 Limits on the number of items for sale

The maximum number of items Trusted Sellers can add to their store depends on their subscription:

  • Basic Subscription: 50 items
  • Silver Subscription: 70 items
  • Gold Subscription: 150 items
  • Platinum subscription: unlimited

11.4 Rights related to the monthly subscription

10pt;">Trusted Sellers can benefit from all the services offered by Gemsquar included in their monthly subscription, once it has been paid. Trusted Sellers can therefore benefit from all the services described in article 6.2 of the T&Cs.

 
11.5 Gemsquar Monthly and Annual Subscription Rules and Request for Account Deletion and Ship-Out Deadline Extension

Trusted Sellers may downgrade, upgrade or cancel their Gemsquar subscription at any time, subject to one month's notice to the end of a month in the event of downgrading or cancellation. Downgrading a subscription mid-month does not result in a refund of the price difference.

In case of upgrade, Gemsquar may charge the price difference between subscriptions.

Trusted Sellers can pay their monthly subscription by credit card.

In the event of cancellation, the balance remains due to Gemsquar until the end of the notice period.

11.6 Annual Subscription

Trusted Sellers can opt for an annual subscription, which allows them to benefit from all Gemsquar services and a 5% discount on the total price of the annual subscription.

In case of downgrade or upgrade of the subscription during the current year, Trusted Sellers must pay the price difference. Cancellation of an annual subscription does not result in a refund. The annual payment is payable at the time of subscription by credit card.

11.7 Request for deletion of a Trusted Seller account

Trusted Sellers can request the deletion of their Gemsquar account. The request must be made by email and the deletion will take place within 30 days from the request.

In the event of account deletion, all amounts owed to Gemsquar remain due and are immediately payable.

11.8 Extension of Shipping Time

When an order requires more time to be prepared than the expected lead time, especially for made-to-order items, sellers may request an extension of this lead time of up to 15 to 30 days.

The request for extension of the shipping time must be made by the Trusted Seller by sending an email to the following address: info@gemsquar.com or by calling (+41) 0789204906 within the stipulated time.

After the extension period has expired, Gemsquar reserves the right to automatically cancel the order and refund the funds already paid by the Buyer upon the latter's request.

In this case, Gemsquar may also request cancellation fees from the Seller due to the loss of sale. Cancellation of an order due to the Seller's failure to ship within the specified time, amounts to the amount of the commission due if the Sale had taken place as planned.

ARTICLE 12. BUYERS’ RIGHTS AND PURCHASES ON THE PLATFORM

12.1 Purchase

To place an order, the Buyer must open a customer account on Gemsquar, add items to their shopping cart, enter or validate their billing and delivery address, validate their payment method and validate the order after accepting the Gemsquar sales conditions as well as the sales conditions of Trusted Sellers. None of the items in the shopping cart are considered reserved until they have been validated as a final purchase.

The Buyer and the Seller acknowledge that the completion of the Payment process by the Buyer creates a legally binding contract between the Buyer and the Seller based on (i) the description and photographs of the Item as provided by the Seller and published on the Platform and, (ii) the applicable terms included in these T&Cs. Gemsquar is not a party to this contract.

12.2 Prices
The price of the Item and the delivery costs are those indicated on the Platform.
12.3 Withdrawal and Return

Buyers have the right to withdraw within three (3) days of receiving their order at their delivery address. They can exercise this right by sending an e-mail to Gemsquar within three (3) days of receiving their package.

In case of withdrawal within the time limits mentioned above, Buyers are required to return the package to Gemsquar in perfect condition and in the same conditions as when received. The return costs, including insurance, will be borne by the buyer.

12.3 Reimbursement

If the order is returned in perfect condition and within the time frame mentioned above, Gemsquar undertakes to fully reimburse the buyer within 72 hours of receipt of the package. The refund will be made directly to the bank account provided by the buyer when creating their account.

ARTICLE 13. OBLIGATIONS COMMON TO USERS

13.1 Valid information and documents

Users are required to provide Gemsquar with valid, accurate and up-to-date information and documents, upon express request from Gemsquar.

13.2 Authorization for automatic collection of the Gemsquar commission

Once the Buyer's payment is received by Gemsquar, Buyers and Sellers authorize Gemsquar to withhold the amount corresponding to the applicable Gemsquar commission percentage, as well as the transaction fees, before remitting the balance in favor of the Seller.

13.3 Sending the package to Gemsquar

The beneficiaries of the Safe-Buy and Safe-Sell Options on the Gemsquar platform agree not to send the packages directly to the Buyer. Instead, users must ship the packages directly to the Gemsquar office for verification of conformity. Gemsquar will be responsible for returning the package to the Sellers in appropriate conditions.

If the package is returned directly to the Seller or Trusted Seller, Gemsquar will not be responsible if the package is damaged and refused by the Seller or Trusted Seller.

13.4 Meetings and Transactions outside the Platform

Except for Trusted Sellers, private sellers and users of the Gemsquar Platform undertake not to give or accept an appointment or invitation to conclude a purchase or sale transaction of an item published on the platform outside of it.

Gemsquar shall not be liable in any way for any damage, of any nature whatsoever, which may result from a transaction carried out outside the Platform by a seller and a buyer.

13.5 Gemsquar Amicable Dispute Resolution and Mediation

By using the Gemsquar platform, Users, including Buyers and Sellers, are encouraged to resolve their disputes or differences in a friendly, courteous and respectful manner and are invited toto contact Gemsquar for an attempt at mediation.

Gemsquar may, at its discretion, act as a mediator to help resolve a dispute between a Buyer and a Seller. In any case, Gemsquar is a Service Platform that only offers a solution for connecting buyers and sellers. Its liability in the event of a dispute following a transaction cannot be incurred.

ARTICLE 14. OBLIGATIONS OF SELLERS

14.1 Quality of the article and description

By using the Gemsquar platform, Sellers agree to sell authentic items and not to sell counterfeits or commit acts of unfair competition.

By listing their items on the platform, Sellers agree to sell original items, whether new or used, and not to sell counterfeit, dangerous or fraudulent products. In the event of fraud or counterfeit items, Gemsquar reserves the right to permanently block the account of the Sellers involved. The permanent blocking of a Trusted Seller or seller account due to an attempted fraud detected by Gemsquar will not give rise to a refund of the subscription or any payment from Gemsquar.

Sellers also undertake to provide an accurate and comprehensive description reflecting the actual condition of the item for sale, based on their knowledge and expertise.

14.2 Withdrawal of the item sold on the Platform

By using the Platform, Trusted Sellers agree to remove any Item sold from their Micro-Store or in their physical store. Trusted Sellers may keep the publication of the Item on the platform and/or in their Gemsquar Micro-Store if they put up for sale another copy identical to the item in question.

ARTICLE 15. GEMSQUAR OBLIGATIONS

15.1 Operation and security of the platform

Gemsquar undertakes to take all necessary measures to ensure that the Platform continues to function properly and to maintain a secure environment for all users.

15.2 Authenticity Check

As part of the Safe-Buy and Safe-Sell Options offered by Gemsquar, Gemsquar uses its knowledge and expertise acquired in the field of jewelry and gemmology, to carry out a conformity check of the item based on the description provided by the seller.

The conformity check is carried out within two (2) working days from receipt of the item at Gemsquar's premises. The time required for the conformity check is estimated at 48 hours from the start of the appraisal, but may vary depending on the complexity of the item. If the conformity check of the item requires more time due to the complexity or age of the item, Gemsquar undertakes to inform the Seller and the Buyer of an extension of the conformity check by providing them with a new deadline, but within the limit of seven (7) additional days.

15.3 Issuance of a Certificate of Authenticity

When a Safe-Buy or Safe-Sell Option is subscribed by a Trusted Seller or a Buyer, or when a Seller sends an item to Gemsquar for an authenticity check, Gemsquar undertakes to issue, at the end of the check and if the latter is conclusive, a certificate of authenticity of the Item which confirms its conformity to the description provided at the time of sale.

Gemsquar will not issue a certificate of authenticity in the event of non-conformity or in the event of doubt as to the conformity of the item to the description provided.

The certificate of authenticity has no official value and only reflects the opinion of Gemsquar.

15.4 Sending

Following a Buyer's order, Gemsquar insends the Items directly to the Buyer in the following cases:

  • When the Safe-Sell or Safe-Buy Option has been subscribed either by a Private Buyer or the Safe-Sell Option by a Trusted Seller.

  • When the Item has been deemed to conform to the description provided following the authenticity check carried out by Gemsquar. Gemsquar undertakes to send the item accompanied by its certificate of authenticity to the address provided by the Buyer within two (2) days from the end of the authenticity check.

  • Directly from an independent expert laboratory, when this is agreed between the parties, in particular when the item requires a more in-depth expertise to determine compliance with the description at the time of the transaction. Gemsquar undertakes to send the item to the independent laboratory within 3 days of the confirmation by e-mail from the Buyer and the Seller. The costs arising from the expertise by the laboratory are the responsibility of the Buyer or the Seller according to their agreement.

15.5 Insurance

In the cases provided for in Article 15.4, Gemsquar undertakes to insure the packages to be sent or returned until receipt by the Seller or the Buyer. Shipping insurance is included in the delivery service and covers theft, loss and damage to the package up to the amount indicated on the invoice, excluding delivery costs.

If the recipient of the package wishes, he can take out additional insurance at his own expense with the insurance company of his choice to cover the transport and delivery of his order.

15.6 Tracking Number and Acknowledgment of Receipt
Gemsquar undertakes to provide a tracking number to all Buyers during transactions on the Platform in order to enable the tracking of the package to its destination.
 
15.7 Information, request for agreement and Reshipment

Gemsquar undertakes to inform the Seller and the Buyer electronically in the event of conformity, non-conformity or doubt as to the conformity of the item to the description provided during the sale, within 48 hours of receipt of the package at its premises.

Non-Conformity of the Article to the Description Provided

When the Safe-Sell or Safe-Buy Option is subscribed and an Item is considered not to comply with the description provided, Gemsquar undertakes on the one hand to inform the Seller and the Buyer of the non-compliance within 48 hours after receipt of the Item at Gemsquar's premises and on the other hand to return the Item automatically to the address provided by the Seller within 2 days from the end of the conformity check. The return costs will be borne by the Seller.

Doubt about the Conformity of the Article and Return to the Seller

In case of doubt as to the conformity of the Article to the description provided at the time of sale and in the absence of a prior agreement between Gemsquar, the Trusted Seller and the Buyer concerning the complete examination of the article by an independent expert laboratory, Gemsquar undertakes on the one hand to inform the Buyer and the Seller electronically and on the other hand to return the article directly to the address provided by the seller within 48 hours from the end of the conformity check. The return costs will be borne by the Seller who refused the laboratory check.

Cases of Exercise of the Right of Withdrawal and Reimbursement

When the Buyer exercises his right of withdrawal within three (3) days from receipt of the item and the returned item is considered to be in good condition, Gemsquar undertakes to return the item to the Seller within 2 working days from its receipt at Gemsquar's premises. The return shipping costs will be borne by the Buyer.Seller's age.

15.8 Reimbursement

In the event that the buyer exercises the right of withdrawal within three (3) days following receipt of the item and if the item returned to Gemsquar is considered to be in good condition, Gemsquar undertakes to fully reimburse the amount of the order, including the standard delivery costs insured.

If the conditions for exercising the right of withdrawal are not met, Gemsquar reserves the right not to grant the refund and to release the amount of the order, less Gemsquar's commission and transaction costs. The costs of returning the order are the responsibility of the Buyer.

ARTICLE 16. OBLIGATIONS OF TRUSTED SELLERS

16.1 Gemsquar Subscription Rules

Trusted Sellers agree to pay the monthly or annual Gemsquar subscription on the Gemsquar platform using a bank card.

16.1.1 Monthly Subscription

When a Trusted Seller chooses a monthly Gemsquar subscription payment, the subscription amount is due on the subscription date and, for subsequent months, on the first day of each month. The monthly subscription amounts to be paid by a Trusted Seller are as follows:

  • 0.- CHF for the Basic subscription
  • 249 CHF for the Silver subscription
  • 499 CHF for the Gold subscription
  • 999 CHF for the Platinum subscription

16.1.2 Annual Subscription

If a Trusted Seller chooses an annual payment of the Gemsquar subscription, he/she agrees to pay the annual subscription in one payment, on the subscription date. The amounts of the annual subscriptions to be paid by a Trusted Seller are as follows, with a 5% discount on the total annual amount:

  • 2'371.55 CHF for the Silver subscription
  • 4'748.05 CHF for the Gold subscription
  • 9'501.95 CHF for the Platinum subscription

ARTICLE 17. OBLIGATIONS OF BUYERS

17.1 Payment for the item, insurance and delivery costs

Buyers are required to pay the full price of the item at the time of ordering.

17.2 Revocation and Returns

Buyers may exercise their right of revocation by informing Gemsquar by email and returning the item with all its contents, along with a tracking number and a receipt with signature upon delivery, within three (3) days of receipt of the order. Return shipping and insurance costs are the responsibility of the buyer, unless otherwise indicated.

All returned orders must be in the same condition as when delivered and accompanied by all their contents and attachments. In the event of a shortage or damage to one or more parts, attachments or packaging, this will automatically result in a refusal of return and refund.

ARTICLE 18 SHIPPING

18.1 Gemsquar Shipping Methods

Trusted Sellers agree to send their items using the service of the shipping company of their choice available on Gemsquar; Swiss Post, Fedex, Brinks SA, Malca Amit SA.

18.2 Commitment to the Expedition

Sellers agree to ship their package with a tracking number and insurance, the costs remaining at their expense. In the event of a return, it is the Buyer's responsibility to provide Gemsquar with a tracking number and to have the returned package insured. Any damage or missing item to the package or its contents will automatically result in a refusal.s return and a refusal of reimbursement.

18.3 Shipping Times

The standard shipping time for an item is three (3) days from the placing of the order or the date of completion of the item when it is made to order, or after validation of the conformity of the item to its details by Gemsquar, unless the Seller or Trusted Seller indicates an additional time in its conditions of sale.

In the event of a return for verification of conformity with the description provided, the shipping time for the Item to the Buyer or Seller is 48 hours from the end of the conformity check.

ARTICLE 19. DELIVERY

19.1 Delivery times

Delivery times for the Items vary depending on the chosen shipping company, the chosen delivery service, the destination country of the package, the speed of customs processing for abroad and may also vary depending on the time of year during which the delivery service is carried out.

Recipients are required to monitor the delivery status of their parcel with the selected delivery service. Private Sellers and Trusted Sellers cannot be held responsible for any delivery delays caused by the delivery service. Therefore, we recommend always tracking your parcel using the tracking number provided by the seller or Gemsquar.

19.2 Delays and non-delivery

Any User who is to receive a package, whether for a purchase or a return, must contact and monitor the delivery status with the delivery service in the event of delay or non-delivery.

19.3 Attendance and signature

Buyers are required to be at the delivery address at the time of receipt of the package and to sign the acknowledgement of receipt in order to be able to collect their package. If another person signs for receipt of the package at the address indicated during the purchase and transaction confirmation, Sellers and Trusted Sellers cannot be held responsible. The Buyer must then contact the delivery service to find the package or the signatory.

ARTICLE 20 METHODS OF PAYMENT

The payment methods accepted on Gemsquar are credit cards and bank cards via our online payment partner, Stripe as well as bank transfer directly to the Gemsquar account, the bank transfer details are sent to the Buyer by Email after validation of their order. Buyers can also pay directly to the Trusted Seller in store if they wish to collect their purchase in store. To do this, they can use our in-store payment solution during the payment process on our Gemsquar platform. This guarantees the reservation and availability of their purchase for a period of 48 hours.

ARTICLE 21 REIMBURSEMENT

When a return is eligible for a refund, it will be made directly to the buyer's bank account as provided to Gemsquar. The full refund will be made between 3 to 7 days from the acceptance of the refund request by Gemsquar. 

ARTICLE 22 LIMITATION OF LIABILITY GEMSQUAR

22.1 Operation of the Platform

Gemsquar cannot be held responsible for any damage, of any nature whatsoever, linked to the operation of the Platform, in particular delays or cuts in Internet connection, malfunctions or partial or total malfunctions of the platform, temporary or permanent, or during updates or maintenance of the Gemsquar platform or the applications or services used by it, or finally, during delays in the execution of a service offered by Gemsquar.

22.2 Protection of information and content

Gemsquar undertakes to adopt the most appropriate protection measures to guarantee the security of the Platform for all users. However, Gemsquar will not be responsible for any loss, deletion, modification or unintentional addition of all or part of the information or content of any nature provided or shared by a user of the platform, in particular in the following cases:

  • Affected by a virus, a Trojan horse or a hack of the Gemsquar platform or account.
  • Browsing third-party pages other than Gemsquar, use of social media accounts by a visitor or user of the platform, or loss, deletion, modification or unintentional addition of information or content resulting from the use or 'subscription to third-party applications or services.

TO THE EXTENT PERMITTED BY LAW, GEMSQUAR DISCLAIMS ALL LIABILITY FOR ANY DAMAGES OF ANY KIND RESULTING FROM THE USE OF THE PLATFORA.

IN ANY EVENT, GEMSQUAR'S LIABILITY SHALL NOT EXCEED THE AMOUNT OF THE PRICE OF THE ITEM PURCHASED.

22.3 Transactions made outside the Gemsquar platform

Gemsquar will not be liable for any loss, partial or total, financial or otherwise, theft, loss of opportunity, bodily or psychological damage to a buyer, seller or third party resulting from a agreement, activity or transaction of purchase, sale or exchange concluded outside the Gemsquar Platform between a Buyer and a Seller (including Trusted Seller).

For your safety, we recommend that you never accept a transaction outside of our Platform. Trusted Sellers are an exception to this recommendation as Gemsquar performs a full check of the seller, their inventory and information before accepting them. grant Trusted Seller status.

22.4 Inappropriate Behavior

Gemsquar cannot be held responsible for physical or mental damage that may result from offensive, disrespectful, racist or defamatory messages or exchanges between a user on or off the platform.

22.5 Sales in Physical Stores

Gemsquar cannot be held responsible for disputes between a Trusted Seller and a Buyer when a sale has been concluded in the Trusted Seller's physical store.

If the sale was made on the Gemsquar platform with payment and delivery in store, the Buyer has the right to ask Gemsquar to act as an intermediary in the event of a dispute over an order. However, Gemsquar cannot be held liable in the event of non-resolution of the conflict, as Gemsquar acts only as a platform service provider.

22.6 Disputes between Sellers and Buyers

Gemsquar acts as a service provider between Sellers and Buyers to facilitate meetings and transactions between both parties. Gemsquar does not act as a direct Seller of jewelry on the Platform. Access, use and The sale or purchase activities carried out on the Gemsquar platform are decisions freely taken and agreed to by Buyers and Sellers. Gemsquar cannot be held responsible for any damage of any nature whatsoever in connection with a transaction inbetween a Buyer and a Seller, in particular concerning the status and price of the jewelry, the payment or receipt or non-receipt of the Item by the Buyer or the Seller.

However, in the event of a dispute between a Seller and a Buyer, Gemsquar will provide its best efforts to act as a mediator between buyers and sellers in order to maintain harmony on the platform.

22.7 Delays, Non-Receipts, Non-Deliveries, Absences and Damages

The delivery times indicated by Gemsquar are indicative. Gemsquar strives to guarantee the quality of its delivery services, but cannot be held responsible in the event of non-receipt or delay in the delivery of a package. This includes input errors by the buyer when placing the order, as well as errors made by the delivery service. Gemsquar cannot be held responsible in the event of omission, commission, error, loss or partial or total damage to the package or its contents once the package has been sent or received by the recipient.

22.8 Price Differences of Items

Gemsquar is not responsible for any price differences between the Item offered for sale on the Platform and its actual value, nor for any price differences between the Item sold on the Platform and the one offered outside the Platform. Similarly, Gemsquar shall not be held liable for any price differences between the price offered by a Seller on the Platform and the price of the Item or a similar Item on the current market.

22.9 Differences in Expertise Results

In the context of the security services of purchase or sale, Gemsquar cannot be held responsible for differences in expertise with another entity.

ARTICLE 23 Dispute with Gemsquar

23.1 Applicable law

These T&Cs and any dispute relating to these T&Cs or, in general, the use of the Platform are governed by Swiss law, subject to mandatory consumer protection provisions.

23.2 Amicable resolution

If you have a dispute with Gemsquar, you must notify us in writing, setting out the reasons for your disputes, so that we can attempt to resolve them amicably. However, if an amicable solution is not found within thirty (30) days of your notification, the following rules will apply to any dispute relating to the Platform:

23.3 Competent jurisdiction

Any dispute relating to these T&Cs or, in general, the use of the Platform will be subject to the exclusive jurisdiction of the Courts of the canton of Geneva, in Switzerland.
